This Terms of Service Agreement ("Terms" or "Agreement") governs the use of the services provided under the brand AiPush, which is an added service offered by TowGig Technologies. For clarity and legal certainty, all references herein to "AiPush," "we," "our," or "us" shall be construed as referring to TowGig Technologies, its affiliates, subsidiaries, officers, directors, employees, agents, successors, and assigns, as the case may be. TowGig Technologies maintains its principal place of business at 1 Hardy Road #1206, Bedford, NH 03110, United States and operates AiPush as part of its suite of technology-driven solutions for business-to-business (B2B) lead booking and social media strategy.
AiPush is not an independent legal entity but rather a distinct service line and digital platform under the ownership and control of TowGig Technologies. The service has been designed to provide organizations, businesses, and professional users with tools, systems, and strategies that maximize outreach and engagement for the purpose of generating business leads through social media platforms.
The use of AiPush, in whole or in part, constitutes a binding agreement between the user and TowGig Technologies. By accessing, browsing, registering for, or otherwise engaging with AiPush services, the user expressly acknowledges and accepts these Terms in full, without limitation or qualification.
These Terms apply universally to all individuals and entities who access or use AiPush, regardless of their role, location, or manner of engagement.
The overarching purpose of this Introduction and the Terms in their entirety is to set forth the rights, duties, and responsibilities of both AiPush and its users. These Terms are designed to create legal certainty by clarifying how AiPush services may be used, the limitations inherent in their use, and the reciprocal expectations of both parties.
AiPush, a proprietary service operated by TowGig Technologies, is designed and maintained as an advanced, artificial intelligence–powered platform specifically tailored to address the needs of businesses engaged in social media marketing and lead generation.
At the present time, AiPush services are offered free of charge to registered and unregistered users alike. This free model reflects the developmental and early-stage deployment strategy of TowGig Technologies.
TowGig Technologies affirms its intention to implement a structured subscription model for AiPush, whereby different categories of service may be made available depending on the level of access and functionality required by users.
AiPush is expressly designed as a facilitative tool and not as a guarantee of specific business outcomes. TowGig Technologies does not and cannot warrant or represent that users will secure any specific number of leads, clients, appointments, or commercial contracts as a direct result of using AiPush.
AiPush does not assume responsibility for verifying the accuracy, reliability, or suitability of third-party data sources or platforms upon which its services may rely. The effectiveness of AiPush may vary depending on industry sector, target audience, and the nature of the user's business strategy.
TowGig Technologies commits itself to operating AiPush in good faith, utilizing commercially reasonable efforts to maintain the accuracy, reliability, and functionality of its AI-powered strategies.
Access to and use of AiPush is expressly conditioned upon the satisfaction of defined eligibility requirements. AiPush is designed exclusively for business-to-business (B2B) use and is not intended for personal, consumer-oriented, or recreational use.
The use of AiPush is strictly limited to individuals who have attained the minimum age of eighteen (18) years at the time of registration or access.
Users who access AiPush on behalf of a company, organization, partnership, or other legal entity represent and warrant that they possess the requisite authority to bind such entity to these Terms of Service.
TowGig Technologies reserves the right to deny access to AiPush to any individual or entity that fails to meet the eligibility criteria outlined in this section.
By registering for, accessing, or otherwise using AiPush, each user affirms and covenants that they are engaging with AiPush solely in a business or professional capacity.
In order to access and utilize certain features of AiPush, users may be required to register for an account. Account registration entails the submission of accurate, complete, and up-to-date information.
Upon successful registration, each user shall be provided with or prompted to create unique login credentials. The user bears sole responsibility for maintaining the confidentiality, integrity, and security of these login credentials.
In the event that a user becomes aware of or reasonably suspects that unauthorized access, disclosure, or misuse of their account credentials has occurred, they must immediately notify TowGig Technologies.
Users shall exercise diligent care in the use of their accounts and shall be responsible for ensuring that all information submitted remains accurate and up to date.
While TowGig Technologies employs reasonable technical and organizational measures to safeguard account integrity, the ultimate responsibility for account use lies with the user.
TowGig Technologies reserves the right to request verification of identity, business details, or authority to act on behalf of a business entity in connection with account registration and ongoing use of AiPush.
AiPush is designed to operate as a professional, business-to-business service, enabling users to engage in activities such as the generation of qualified business leads, the execution of targeted marketing campaigns, and the management of client booking strategies across social media platforms.
Users agree not to misuse AiPush in any manner, including employing AiPush for the distribution of spam communications, using the service to facilitate or engage in unlawful activities, or attempting to reverse engineer, decompile, or disassemble the platform.
Users shall not take any action that interferes with or disrupts the proper operation of AiPush, including introducing viruses, malware, or engaging in excessive automated requests.
Users shall not attempt to gain unauthorized access to any part of AiPush or related systems, networks, or data repositories.
Any violation of the provisions of this section shall constitute a material breach of these Terms of Service and may result in immediate termination of access.
At present, AiPush is made available to Users without charge. The Company expressly reserves the right to transition from a free model to a subscription-based or otherwise monetized service structure in the future.
Upon the introduction of paid services, AiPush will operate under a subscription-based model, which may include varying tiers of service packages designed to meet the distinct needs of Users.
Refunds for subscription fees, where applicable, shall be subject to the Company's refund policy in force at the time of the request. Unless expressly stated otherwise, subscription fees are non-refundable in whole or in part once paid.
All subscription fees and associated charges shall be exclusive of applicable taxes unless otherwise expressly indicated. The User shall bear sole responsibility for payment of all taxes, duties, levies, tariffs, or governmental charges imposed in connection with subscription or use of AiPush services.
AiPush, including but not limited to its underlying platform, software architecture, algorithms, user interface designs, source code, databases, data models, proprietary strategies, trade secrets, know-how, and all related documentation, materials, and content, is and shall remain the sole and exclusive property of TowGig Technologies.
Subject to strict compliance with these Terms of Service, the Company grants the User a limited, revocable, non-exclusive, and non-transferable license to access and use the AiPush platform solely for its intended business-to-business purposes.
The User agrees not to engage in, attempt, encourage, or permit others to engage in any action that would infringe upon or misappropriate the intellectual property rights of the Company.
The Company expressly reserves all rights, title, and interest in and to AiPush and its intellectual property that are not expressly granted herein.
All trademarks, trade names, service marks, logos, slogans, and brand identifiers used in connection with AiPush are proprietary to TowGig Technologies.
AiPush acknowledges that all leads, client data, contact information, marketing materials, business documents, and any other content or information that a User uploads, transmits, or otherwise makes available through the platform shall remain the sole and exclusive property of the User.
By submitting, uploading, or otherwise providing User Content to AiPush, the User hereby grants TowGig Technologies and its affiliates a worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to use, host, store, reproduce, process, analyze, transmit, display, and otherwise make such content available for the limited purposes of enabling the provision of the AiPush service.
Users are solely responsible for the legality, accuracy, integrity, and reliability of all User Content submitted to AiPush.
AiPush reserves the right, but not the obligation, to review, monitor, and remove any User Content that it reasonably believes violates these Terms, applicable laws, or the rights of third parties.
The rights and licenses granted to AiPush under this Section shall continue for so long as necessary to fulfill the purposes set forth herein, and shall survive termination or deactivation of a User account to the extent required to comply with legal obligations.
AiPush is provided to Users strictly on an "as is" and "as available" basis. The Company does not make any express or implied representations, warranties, or guarantees that the Services will be suitable for every business need or free from defects, delays, or interruptions.
While AiPush employs commercially reasonable measures to maintain the functionality, availability, and reliability of its Services, TowGig Technologies cannot and does not guarantee continuous, uninterrupted, or error-free access.
TowGig Technologies expressly disclaims any assurance, warranty, or guarantee that the use of AiPush will result in a specific number of leads, conversions, appointments, or booked clients.
To the fullest extent permitted by law, TowGig Technologies shall not be liable for any direct, indirect, incidental, consequential, exemplary, or punitive damages arising from interruptions, delays, or failures of the Services.
TowGig Technologies retains the unrestricted right to modify, suspend, or discontinue AiPush Services, in whole or in part, at any time and for any reason, with or without notice.
By utilizing AiPush, Users acknowledge the inherent risks associated with reliance on digital services and accept responsibility for implementing supplementary business practices to mitigate such risks.
Users of AiPush may, at their sole discretion, terminate their account and discontinue use of the Services at any time.
TowGig Technologies reserves the right, in its sole discretion, to suspend or terminate a User's account and access to AiPush Services, in whole or in part, where it reasonably believes that the User has violated these Terms of Service, applicable laws, or third-party rights.
Termination, whether initiated by the User or by AiPush, results in the immediate cessation of access to Services. All licenses and access rights granted under these Terms shall be revoked.
The provisions of this Section are intended to ensure clarity and fairness in the event of account termination. Termination of the Service relationship shall not prejudice AiPush's right to pursue claims or remedies arising prior to or in connection with the termination event.
The Services provided by AiPush are offered strictly on an "as is" and "as available" basis, without any express or implied warranties of any kind. To the fullest extent permitted under applicable law, TowGig Technologies disclaims all warranties, representations, and conditions.
TowGig Technologies makes no guarantee, representation, or warranty that the use of AiPush will result in actual lead conversions, successful client bookings, increased sales, or other specific commercial outcomes.
To the fullest extent permitted by law, in no event shall TowGig Technologies, its affiliates, officers, directors, employees, agents, contractors, or licensors be held liable to Users or to any third party for damages of any kind arising out of or in connection with the use of, inability to use, or reliance upon AiPush.
Users bear the exclusive responsibility for evaluating the accuracy, legality, and usefulness of information generated by or submitted through AiPush.
The disclaimers and limitations set forth in this Section reflect a fundamental allocation of risk between TowGig Technologies and the Users.
The User hereby expressly agrees, at their sole expense, to indemnify, defend, and hold harmless TowGig Technologies, its affiliates, subsidiaries, officers, directors, employees, agents, contractors, licensors, successors, and assigns from and against any and all actual or threatened claims, demands, actions, proceedings, liabilities, damages, judgments, losses, penalties, fines, settlements, costs, and expenses.
Any misuse of AiPush that results in claims, liabilities, or damages shall activate the User's indemnification obligations.
In instances where Users upload, transmit, or otherwise provide content, data, or business information through AiPush, the User represents and warrants that such materials are accurate, lawful, non-infringing, and free from harmful code.
TowGig Technologies shall provide the User with prompt written notice of any claim subject to indemnification under this Section.
The indemnification obligations described in this Section are continuing obligations that shall survive the termination, suspension, expiration, or cessation of the User's account.
The User acknowledges and agrees that this indemnification framework reflects a reasonable and equitable allocation of risk between the parties.
This Section shall be read in conjunction with Section 11 (Disclaimers & Limitation of Liability).
This Agreement shall be governed by, and construed in accordance with, the laws of the State of New Hampshire, United States of America, without regard to conflict-of-laws principles.
Before resorting to binding arbitration or any judicial process, the parties shall first attempt in good faith to resolve any dispute, controversy, or claim arising under or related to this Agreement through informal discussions.
If the parties are unable to resolve the dispute through direct negotiations, they may mutually agree to submit the matter to non-binding mediation before a neutral third-party mediator located in New Hampshire.
Any dispute, claim, or controversy arising out of or in connection with this Agreement, which cannot be resolved through good faith negotiations or mediation, shall be finally resolved by binding arbitration.
To the maximum extent permitted by applicable law, all claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Notwithstanding the foregoing arbitration provision, the User agrees that TowGig Technologies may, at its sole discretion, bring an action in a court of competent jurisdiction within the State of New Hampshire for purposes of seeking equitable relief.
Unless otherwise determined by the arbitrator or required under applicable law, each party shall bear its own attorneys' fees and expenses in connection with arbitration.
If any portion of this Section is found unenforceable or invalid under applicable law, the unenforceable portion shall be severed, and the remainder of the arbitration agreement shall remain in full force and effect.
TowGig Technologies expressly reserves the right, at its sole discretion, to amend, revise, update, or otherwise modify these Terms of Service at any time.
To promote fairness and transparency, TowGig Technologies shall provide reasonable notice of any material changes to these Terms of Service.
The User's continued access to or use of the AiPush Services following the posting or delivery of revised Terms of Service shall constitute full and binding acceptance of such modifications.
Unless otherwise stated, modifications to these Terms of Service shall become effective immediately upon posting to the official AiPush website or upon dispatch of email notice to the User.
TowGig Technologies emphasizes that these Terms of Service represent a living agreement, one that may evolve with changing legal, technological, and commercial circumstances.
